01Agreement

These Terms of Use ("Terms") are an agreement between Zeerow Finovate Private Limited ("zeerow") and the business that signs up for zeerow (the "Customer"), and they also apply to every person the Customer gives access to ("Users"). By creating an account, accepting an order form, or using zeerow, you agree to these Terms.

If you accept on behalf of a business, you confirm you are authorised to bind it. If the Customer has a signed Master Service Agreement or order form with zeerow, that document takes priority where it differs from these Terms.

02What zeerow is, and is not

zeerow is a technology platform that helps businesses manage spends: wallets for teams, payment requests, approvals, bill capture and verification, accounting entries and reports.

03Eligibility and accounts

• zeerow is for businesses and professionals registered in India. Users must be 18 or older.
• The Customer must complete onboarding and KYC, and keep its details accurate.
• The Customer appoints administrators who add Users, set roles, wallets, limits and approval rules. The Customer is responsible for everything done through its accounts.
• Users must keep their login PIN and OTPs secret. Tell us at once at support@zeerow.com if you suspect misuse.

04Payments on zeerow

• A payment is released only after the approvals the Customer has set, and with the releasing User's PIN. The Customer is responsible for checking the payee, amount and purpose before release.
• Payments are executed by our banking and payment partners, and depend on their systems and on NPCI rails. Timelines, limits and reversals follow their rules and RBI guidelines.
• If a payment fails, the amount is reversed to the source as per the partner's process and RBI's turnaround times for failed transactions.
• zeerow does not hold Customer funds in its own account.

05Fees and taxes

• Plans start at ₹499 per month. The fees, included limits and per-transaction charges for your plan are as shown on our pricing page or your order form.
• Fees are billed in advance for each billing cycle. GST and other applicable taxes are charged extra.
• We may change fees with at least 30 days' notice. Changes apply from your next billing cycle.
• Refunds and cancellations follow our Refund & Cancellation Policy.

06AI features

AI features (such as bill reading, categorisation, pattern insights and the AI CFO) are assistive tools. They can make mistakes. Their outputs are not tax, legal, audit or investment advice, and the Customer remains responsible for its own accounting and compliance decisions.

07Third-party services

zeerow can connect to services such as Tally, WhatsApp, and AI assistants like Claude or ChatGPT. When you switch on a connection, your use of that service is governed by its own terms, and you authorise us to share the data needed for that connection.

08Acceptable use

You must use zeerow only for lawful business purposes and in line with our Acceptable Use Policy.

09Intellectual property

zeerow, its software, design, logos and content belong to zeerow or its licensors. We give the Customer a limited, non-exclusive, non-transferable right to use zeerow during its subscription. The Customer owns its data, and gives us the rights needed to provide the service.

10Data protection and confidentiality

We handle personal data as set out in our Privacy Policy. Where zeerow processes Customer data on the Customer's behalf, a data processing addendum applies. Each party will keep the other's confidential information secret and use it only for this agreement.

11Service levels and support

We aim to meet the support response times shown on our website (for example a 15-minute first reply for emergencies). These are service targets. Any service credits or binding service levels apply only if set out in a signed agreement.

12Suspension and termination

• The Customer may stop using zeerow at any time, as per the Refund & Cancellation Policy.
• We may suspend or close access if these Terms are breached, if we suspect fraud or illegal activity, if a partner or regulator requires it, or if fees remain unpaid.
• On closure, the Customer can export its data for 30 days. After that we delete it, except what the law requires us to keep.

13Disclaimers

We work hard to keep zeerow available and accurate, but the service is provided "as is". We do not guarantee it will be uninterrupted or error-free, and we are not responsible for delays or failures caused by banks, payment networks, partners or events outside our control.

14Limitation of liability

To the extent allowed by law, zeerow is not liable for indirect, incidental or consequential losses, or loss of profit. zeerow's total liability under these Terms is limited to the fees the Customer paid to zeerow in the 12 months before the claim.

15Indemnity

The Customer will indemnify zeerow against claims that arise from its breach of these Terms, its misuse of the platform, or payments its Users approve and release.

16Governing law and disputes

These Terms are governed by the laws of India. Disputes will first be discussed in good faith. If not settled in 30 days, they will be referred to arbitration under the Arbitration and Conciliation Act, 1996, by a sole arbitrator, seated in Indore. Subject to this, courts at Indore have exclusive jurisdiction.

17Changes and contact

We may update these Terms. We will give notice of important changes before they apply. Continued use after that means you accept the updated Terms.
